Southern California Deaf Anglers Club

A Non Profit Organization

 

ARTICLE I

NAME OF ORGANIZATION

The name of this corporation shall be Southern California Deaf Anglers Club hereinafter referred to as SCDAC.

 

ARTICLE II

PURPOSE

This corporation is organized exclusively for charitable, recreational, and educational purposes, more specifically to angling.
The primary objective is to promote angling and sport fishing among deaf, hard of hearing, and hearing people, primarily in
Southern California. To this end, the corporation shall at all times be operated exclusively for charitable purposes within the

meaning of Section 501(c)(3) of the Internal Revenue.
 

ARTICLE III
MEMBERSHIP


SECTION 1  Type of Membership

There shall be three types of membership, single, family and organization. It shall be open to all persons and groups who is over

18 years of age, residing in United States of America, its possessions and territories. All active members and organizations with

dues paid shall have voting rights at all general meetings.

 

A)    Single Membership

This category is for any person. Each voting member shall be entitled to one vote.
 

B)    Family Membership

This category is for two persons or more residing under one roof. Each adult by the age of 16 and above shall be entitled to one

vote each as a voting member. There shall be no age limit to the child as a member only if included as part of family membership

under the same roof.

 

C)    Organizational Membership

This category is for organizations for affiliation purposes. There shall be one representative from each affiliated organization who

can cast one vote.

SECTION 2  Qualifications

Any person being 18 years and over and living in United States of America and its territories is eligible to join the club.


SECTION 3  Annual Dues

The Board determines dues for each type of membership. Dues are payable during any month of the year that the member joins

by paying the initial dues.
 

SECTION 4  Renewal

Any member in good standing is eligible to renew. This includes all paid-off debts and not in violation of SCDAC.


SECTION 5  Expulsion

Any member may be expelled from SCDAC for any unbecoming acts, acts of detrimental acts, or acts of unsportsmanship

by two-third vote of members present during General Meeting or Board Meeting. Secret ballot will be conducted at the General

Meeting. All membership dues are forfeited, and all monies paid for boat trips will be returned. Illegal drug and narcotics use by

members during club trips will be automatically expelled for lifetime with two-third vote of the Board.
 

SECTION 5 Other Rules

All members shall adhere to all local, city, state, and federal rules and laws, which pertains to angling. California Department

of Fish and Game rules shall apply to all SCDAC members.

ARTICLE IV


BOARD OFFICERS

SECTION 1  General

The elective officers shall consist of a President, Vice President, Secretary, Treasurer, three Board Members at-Large, and

Past President. Each officer has voting privileges.
 

SECTION 2  Membership and Term

All Board officers must be active throughout the term. The term is a limit of two calendar years for each elected office.

The election for the board officers shall be held during general meeting in October on even numbered years.

 

SECTION 3  Duties

A) The President shall convene and preside at all meetings. The President shall abide the parliamentary procedures.
B) The Vice President shall act in the place of the President, in his/her absence from the chair. The Vice President shall

be the custodian of all SCDAC properties.
C) The Secretary shall prepare and keep accurate records of Board actions, including overseeing the taking of minutes at

all Board and General meetings, sending out meeting announcements, distribute copies of minutes and the agenda to

each Board officers, and assure the organization records are maintained. All records maintained by the Secretary shall

be surrendered to his successor at the end of the term or departure whichever comes first.
D) The Treasurer shall maintain the account with the bank for all finance transactions initiated by the SCDAC. The Treasurer

makes a report at each Board and General meeting. All records maintained by the Treasurer shall be surrendered to his

successor at the end of the term or departure whichever comes first. The Treasurer shall maintain the SCDAC’s membership

computer database. Any expenditure over $500, except approved boat trip fees, shall require the approval of the Board.
E) The Board Members at-Large will perform other duties as needed, including annual audit of finance, fish records, and

secretarial records and report to the President after their findings.
 

SECTION 4  Removal and Resignation

Any officer may be removed with or without cause, by a two-third vote at the Board Meeting. Any officer who fails to attend

three consecutive Board meetings, excused or unexcused will be removed by two-third vote of the Board. Any officer may

resign at any time by giving written notice to the President or to the Secretary.

 

ARTICLE V

MEETINGS

 

SECTION 1  Board Meetings

The President may call the Board Meeting within two week notice to discuss the SCDAC business. The quorum of the Board

Meeting shall be at least 5 persons of the Board officers.
 

SECTION 2 General Meetings

The General Meeting shall take place during the month of October on annual basis. The site of meeting shall be decided by the

Board. The second General Meeting shall be held during the month of May annually where at least five members must submit

such request to the Secretary by the end of March. The notice of General Meeting shall be mailed out no less than 2 months in

advance to all active, voting members. The quorum of the General Meeting shall be 15 (fifteen) of the active members.

 

SECTION 3  Special Meetings

Special Meetings may  be called upon by the majority of the Board officers. The President shall call the Special Meeting with at

least 7-day notice. The quorum of the Special Meeting shall be at least five Board officers.
 

ARTICLE VI

 

COMMITTEES

The Board may create both regular and standing committees, as needed, such as tournaments, trip charter master, newsletter,

fund raising, minutes committee, and web design/development. The President shall appoint all committee chairpersons.


 ARTICLE VII

 

ELECTIONS

 

SECTION 1  Eligibility

All members shall be active for at least 12 months before being nominated for any Board Officer positions.


SECTION 2  Nominations

All nominations shall take place at the General Meeting.
 

SECTION 3  Number of Terms

The number of consecutive terms for any Board officer position shall be unlimited.

 

SECTION 4  Vacancies

In the event of Board vacancy due to resignation, death, removal or disqualification, the Board shall have the power to elect

a successor to take office when the vacancy becomes effective.

 

ARTICLE VIII

 

AMENDMENTS OF BYLAWS

 

These bylaws may be amended in General Meeting by a two-third vote of members present and voting, providing the amendments

are submitted to the Secretary 60 days before the General Meeting and mailed to all members 30 days before the General Meeting.


ARTICLE IX

 

Parliamentary AUTHORITY

 

The rules contained in the current edition of Robert’s Rules of Order Newly Revised shall be governed.
 

ARTICLE X

 

DISSOLUTION

 

SCDAC may be dissolved in Special Meeting called for this specific purpose by two-third vote. All of the properties and liquidation

shall go to another deaf organization serving similar purpose such as camping, recreation or angling.
